Why Nigerian Founders Form US LLCs

1. Full USD Stripe Access

Stripe does not directly support Nigerian-registered businesses — in-country access runs through Paystack, Stripe’s Nigerian subsidiary, which settles in naira. If you want full USD Stripe checkout for selling digital products, SaaS subscriptions, or services to international customers, the working route is a US LLC with an EIN, a US business bank account, and a US business address on the application. This is the single biggest reason Nigerian founders form US LLCs.

One detail most guides skip: Stripe checks founder domicile, not just where your company is registered. A Nigerian personal address on your Stripe application can trigger rejection even with a valid US LLC. Platform eligibility rules for Nigerian residents change and vary — Amazon, for example, governs seller registration by its accepted-countries list, and payout friction is common even where registration works. Wyoming — the best fit for most Nigerian founders:

  • No state income tax
  • Strong privacy protections — member names stay off the public record

New Mexico — the budget option:

  • $50 filing fee
  • No annual report requirement at all
  • Slower name-availability verification

Delaware — only if you plan to raise US venture capital:

  • $90 filing fee, but a flat $300 annual franchise tax whether or not you make a profit
  • Preferred by US VCs and institutional investors
  • Processing around 10 business days (expedited options available)

Step 2: Choose a Business Name

Your LLC name must:

  • Be unique in your chosen state

Step 3: Appoint a Registered Agent

Every US LLC must have a Registered Agent — a person or company with a physical street address in your formation state that receives legal documents for your LLC. A PO box does not qualify, and as a Nigeria-based founder you cannot act as your own agent, so a US registered agent service is mandatory from day one.

  • Mail: approximately 4 weeks. Avoid it — that’s a month you can’t open a bank account.
  • Phone: unreliable. International calls frequently drop during hold.

Your Nigerian international passport is sufficient identification — no SSN, no ITIN needed for the EIN itself.

Two more details worth knowing. First, IRS fax lines fail regularly, and the IRS does not tell you when a transmission fails — founders often wait a week before discovering nothing was received. ✅ Wise Business is the working path. Wise Business generally accepts Nigeria-resident owners of US LLCs with a verified EIN, subject to enhanced KYC — expect strict scrutiny of your address and business evidence, and know that approval is not guaranteed. Once approved, you get a real US routing and account number for receiving USD, which is exactly what Stripe requires. You’ll need your LLC certificate, EIN, operating agreement, and Nigerian passport.

Step 7: Apply for Stripe Using Your LLC Details

Apply only after your EIN is verified and your Wise Business account is active. On the application: your LLC’s details, your registered agent’s US address as the business address, and your Wise US routing number as the bank account. 🧾 Form 5472 + Pro-Forma 1120 — the filing Nigerian founders miss: Every foreign-owned single-member US LLC with reportable transactions (including the money you put in to start it) must file Form 5472 with a pro-forma Form 1120 annually, deadline April 15. This applies even at zero income. The penalty for missing it is $25,000 per form per year, with an additional $25,000 per 30-day period if you ignore an IRS notice past 90 days — no cap, no minimum income threshold. A founder who contributed $2,000 to start their LLC, earned nothing, and filed nothing still owes $25,000.

📝 BOI Report — no longer required for US-formed LLCs: Under the FinCEN rule effective March 2025, entities formed in the United States — including LLCs owned by non-US residents — are exempt from filing Beneficial Ownership Information with FinCEN. Nigerian-registered PayPal accounts have historically been send-only — able to pay, unable to receive. What a US LLC changes is that you can open a US PayPal Business account under your LLC — a US business account, unaffected by the Nigeria-account restriction — using your EIN, US address, and US bank details. For most founders this is a secondary channel next to Stripe rather than a primary one, but it closes the “client insists on PayPal” gap.

US Taxes for Nigerian LLC Owners: The Honest Picture

No US–Nigeria tax treaty exists. The US has income tax treaties with only four African countries — Egypt, Morocco, South Africa, and Tunisia — and Nigeria is not one of them. In practice: the standard 30% US withholding on US-source passive income (dividends, royalties) applies to Nigerian owners in full, with no treaty reduction, and a W-8BEN cannot lower it.

A note on FATF: Nigeria was removed from the FATF grey list in October 2025.
